These Terms of Use and End User Agreement (the "Terms") are a legally binding agreement between you ("User," "you," or "your") and SJA Enterprises, Inc., doing business as Timeline Creator ("Timeline Creator," "Company," "we," "us," or "our"). These Terms govern your access to and use of https://timelinecreator.net, the Timeline Creator web application, and related software, features, content, and services (collectively, the "Service").

By creating an account, purchasing a subscription, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

The current version of these Terms will be posted on https://timelinecreator.net. Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.

1. ELIGIBILITY AND AUTHORITY

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Service. If you use the Service on behalf of a law firm, company, government agency, nonprofit, or other organization, you represent that you are authorized to bind that organization to these Terms. In that case, "you" and "your" include the organization.

2. THE SERVICE

Timeline Creator provides tools that allow users to create, organize, edit, collaborate on, store, and present timelines and related information. Features may include document and media attachments, sharing, exports, templates, collaboration, and optional AI-assisted functionality. The precise features available to you depend on your plan, account permissions, device, and the then-current version of the Service.

Timeline Creator is a software tool. It does not provide legal, medical, financial, tax, or other professional advice. You are responsible for reviewing your work, confirming accuracy, and determining whether the Service is suitable for your intended use and any professional, regulatory, evidentiary, or security requirements that apply to you.

3. SUBSCRIPTIONS, FEES, AND AUTO-RENEWAL

3.1 Plans and Pricing.

Available subscription plans, included features, storage limits, trial periods, and prices are displayed on the Website or during checkout. The terms presented when you subscribe are incorporated into these Terms. We may offer free, guest, trial, individual, team, annual, monthly, or other plans from time to time.

3.2 Automatic Renewal.

Unless otherwise stated at checkout, paid subscriptions automatically renew for successive periods equal to the initial subscription period until canceled. You authorize us and our payment processor to charge the payment method on file at the beginning of each renewal period for the then-current subscription fee, applicable taxes, and any authorized usage-based or add-on charges.

3.3 Cancellation.

You may cancel renewal through the account or subscription settings, when available, or by contacting support. Cancellation prevents future renewal charges but does not ordinarily produce a refund or prorated credit for the current paid period. Your paid access generally continues through the end of the then-current billing period unless your account is terminated for breach or otherwise stated at cancellation.

3.4 Refunds.

Except where required by law or expressly stated in writing by Timeline Creator, subscription fees, setup fees, add-on fees, and other charges are nonrefundable and noncreditable.

3.5 Price Changes.

We may change pricing, plan names, storage allocations, and included features. Price changes for an existing paid subscription will ordinarily take effect at the next renewal, unless a different effective date is disclosed or applicable law requires additional notice.

3.6 Taxes and Failed Payments.

Fees do not include sales, use, value-added, or similar taxes unless stated otherwise. You are responsible for applicable taxes. If payment cannot be collected, we may retry the charge, restrict features, suspend access, or terminate the account after any notice required by law.

3.7 Payment Processing.

Payments are processed by a third-party payment processor, currently Stripe. We do not store complete payment-card numbers on Timeline Creator application servers. Your use of payment processing services is also subject to the processor's applicable terms and privacy practices.

4. ACCOUNTS AND CREDENTIALS

You must provide accurate, current, and complete account information and keep it updated. You are responsible for safeguarding your credentials, restricting access to your devices and account, and all activity occurring under your account. Individual credentials may not be shared among multiple people unless the applicable plan expressly permits shared access.

Notify us promptly at info@timelinecreator.net if you suspect unauthorized access, credential compromise, or other account misuse. We may require verification before changing account ownership, billing contacts, credentials, or access rights.

5. ORGANIZATIONAL ACCOUNTS, ROLES, AND PERMISSIONS

An organizational or team account may allow an account owner or administrator to invite users, assign roles, manage permissions, purchase seats or add-ons, and control access to timelines. The exact role names and permissions may change as the Service evolves.

Disputes concerning account ownership, employment, client representation, or organizational authority are matters between the affected users and organization. We may freeze or restrict disputed accounts while we evaluate documentation, but we are not obligated to resolve private ownership disputes.

6. USER CONTENT AND DATA

6.1 Your Content.

"User Content" means timelines, event descriptions, dates, notes, documents, images, audio, video, links, labels, metadata, comments, and other information uploaded, created, entered, transmitted, or stored through the Service by or for you. As between you and Timeline Creator, you retain ownership of your User Content.

6.2 Limited License to Operate the Service.

You grant Timeline Creator and its service providers a worldwide, nonexclusive, limited license to host, store, reproduce, transmit, display, format, back up, and otherwise process User Content solely as reasonably necessary to provide, secure, support, improve, and operate the Service; comply with law; and carry out your instructions. This license ends when the applicable User Content is deleted from our active systems, subject to reasonable backup, legal, and security retention periods.

6.4 Sensitive and Regulated Information.

6.3 Your Responsibilities.

You represent and warrant that you have all rights, notices, permissions, consents, and lawful bases needed to upload and process User Content and to grant the license above. You are responsible for ensuring that User Content and your use of the Service comply with applicable law, court rules, protective orders, confidentiality obligations, professional duties, contracts, and third-party rights.

You should not upload information that you are prohibited from disclosing or processing. Unless we separately agree in writing, the Service is not represented as satisfying any particular industry-specific certification, government authorization, records-management standard, or regulatory framework. You are responsible for determining whether your use is appropriate for confidential, privileged, health, financial, government, export-controlled, or other regulated data.

6.5 Backups and Exports.

Although we may maintain backups for business continuity, Timeline Creator is not your exclusive archival or records-retention system. You are responsible for maintaining independent copies of critical User Content and exporting information you need before cancellation, termination, or deletion.

7. SHARING, INVITATIONS, AND PUBLIC LINKS

The Service may allow you to share timelines through invitations, team access, exports, or links. You control whom you invite and how you configure available sharing settings. Anyone with access may be able to view, copy, download, capture, or redistribute information, even if such conduct violates your instructions. You are responsible for reviewing recipients, permissions, and link settings before sharing confidential material.

Timeline Creator is not responsible for access or disclosure caused by your sharing choices, recipient conduct, compromised recipient accounts, forwarded links, or information you make public.

You may not use the Service to engage in, facilitate, or encourage unlawful, fraudulent, harmful, abusive, or unauthorized conduct. Without limiting the foregoing, you may not:

We may investigate suspected violations and may remove content, restrict functionality, suspend access, preserve information, or report conduct to appropriate authorities when we reasonably believe it is necessary to protect the Service, users, third parties, or comply with law.

8. ACCEPTABLE USE

You may not use the Service to engage in,facilitate, or encourage unlawful, fraudulent, harmful, abusive, orunauthorized conduct. Without limiting the foregoing, you may not:

·       upload, create, transmit, orstore content that is unlawful, defamatory, threatening, harassing, obscene,exploitative, or that infringes intellectual-property, privacy, publicity,confidentiality, or other rights;

·       introduce malware, ransomware,viruses, destructive code, or other harmful material;

·       probe, scan, test, circumvent,or interfere with the security, integrity, availability, authentication, ratelimits, permissions, or operation of the Service without written authorization;

·       access another person's accountor data without authorization, impersonate another person, or misrepresent youridentity or affiliation;

We may investigate suspected violations andmay remove content, restrict functionality, suspend access, preserveinformation, or report conduct to appropriate authorities when we reasonablybelieve it is necessary to protect the Service, users, third parties, or complywith law.

·       reverse engineer, decompile,disassemble, copy, scrape, frame, mirror, resell, sublicense, or createderivative works from the Service except to the limited extent applicable lawexpressly permits;

·       use automated means to extractdata or overload the Service, except through an interface we expressly provideand authorize;

·       use the Service to violatesanctions, export-control laws, court orders, professional obligations, orapplicable laws and regulations; or

·       use the Service in a way thatmaterially harms Timeline Creator, our users, or third parties.

9. TECHNICAL SUPPORT AND SUPPORT ACCESS

Support channels, hours, response targets, and included support vary by plan and may change. Support is intended to address use questions, account issues, and technical problems. Unless separately purchased or agreed, support does not include case strategy, professional advice, data entry, custom design, consulting, or creation of timelines on your behalf.

When you request support, you authorize our personnel and service providers to access account information and, when reasonably necessary, User Content for the limited purpose of diagnosing and resolving the request, maintaining security, or restoring functionality. We will use reasonable measures to limit access to personnel with a need to know. Tell us before support begins if the request involves unusually sensitive information or if you want us to use a screen-sharing or user-directed workflow instead of direct account access, where technically feasible.

10. SECURITY

We use administrative, technical, and physical safeguards designed to protect information and maintain the Service. However, no system, network, transmission, or storage method is completely secure or error-free. We do not guarantee that unauthorized parties will never defeat safeguards or that information will never be lost, altered, unavailable, or disclosed.

You are responsible for using strong unique passwords, protecting authentication methods, securing endpoints and networks, promptly installing updates, limiting user permissions, and maintaining appropriate backups. You must not rely on Timeline Creator as your only copy of critical information.

11. PRIVACY

Our Privacy Policy, available at https://timelinecreator.net/privacy-policy, explains how we collect, use, disclose, and protect personal information. The Privacy Policy is incorporated into these Terms. If you use the Service to process personal information about other people, you are responsible for providing legally required notices and obtaining legally required permissions or consents.

12. INTELLECTUAL PROPERTY AND LICENSE

The Service, including its software, code, interface, design, templates, documentation, branding, logos, and all related intellectual-property rights, is owned by Timeline Creator, its affiliates, or licensors. Except for User Content and third-party materials, no ownership rights are transferred to you.

Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Service during your authorized subscription period for your internal personal or business purposes. All rights not expressly granted are reserved.

If you submit ideas, suggestions, feedback, or recommendations concerning the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

13. THIRD-PARTY SERVICES AND LINKS

The Service may integrate with or link to third-party products, websites, storage providers, payment processors, identity providers, analytics tools, or other services. Third-party services are governed by their own terms and privacy practices. Timeline Creator does not control and is not responsible for third-party services, and their availability or behavior may affect features of the Service.

14. AI-ASSISTED FEATURES

The Service may offer optional features that use artificial intelligence or automated processing to suggest dates, titles, summaries, categories, descriptions, chronology, or other output ("AI Output"). AI Output may be incomplete, inaccurate, misleading, biased, duplicative, or unsuitable for your purpose. You are solely responsible for reviewing, verifying, editing, and approving AI Output before relying on, publishing, filing, presenting, or sharing it.

AI-assisted features do not provide legal or professional advice and do not replace human judgment. Do not submit information to an AI-assisted feature unless you are authorized to do so and have considered confidentiality, privilege, privacy, and contractual restrictions. Availability, providers, limits, and data-handling settings for AI-assisted features may change.

15. SUSPENSION, TERMINATION, AND DATA AFTER CANCELLATION

You may stop using the Service at any time and may cancel renewal as described above. We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, misuse the Service, or if continued operation is no longer commercially or technically feasible. Where practical and appropriate, we may provide notice and an opportunity to cure.

Upon termination or expiration, your right to use the Service ends. We may retain account information and User Content for a limited period for backup, reactivation, dispute resolution, fraud prevention, security, and legal compliance. We may thereafter delete or de-identify information without liability, subject to applicable law and our then-current retention practices. You should export needed information before the account ends.

Provisions that by their nature should survive termination will survive, including provisions concerning fees, ownership, User Content responsibilities, disclaimers, liability limits, indemnification, disputes, and miscellaneous terms.

16. SERVICE AVAILABILITY AND CHANGES

We aim to make the Service available, but we do not guarantee uninterrupted, timely, secure, or error-free operation. Maintenance, updates, outages, internet failures, hosting failures, third-party failures, security events, or other conditions may interrupt access. We may add, modify, suspend, or discontinue features or the Service, and we do not guarantee continued support for any particular feature, format, integration, device, or operating system.

17. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TIMELINE CREATOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, SECURITY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, AUTHENTICITY, ADMISSIBILITY, LEGAL EFFECT, OR SUITABILITY OF USER CONTENT, AI OUTPUT, EXPORTS, REPORTS, DATES, SOURCES, OR OTHER INFORMATION CREATED OR STORED THROUGH THE SERVICE. YOU ARE RESPONSIBLE FOR INDEPENDENT REVIEW AND BACKUP.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMELINE CREATOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE; COSTS OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM UNAUTHORIZED ACCESS, DATA LOSS, SERVICE INTERRUPTION, THIRD-PARTY SERVICES, OR RELIANCE ON AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TIMELINE CREATOR AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TIMELINE CREATOR FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, the exclusions and limitations apply only to the fullest extent permitted by law.

19. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Timeline Creator and its affiliates, officers, directors, employees, agents, licensors, and service providers from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys' fees arising from or relating to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms or applicable law; (d) your infringement or violation of another person's rights; or (e) the acts or omissions of users you authorize. We may assume control of the defense of a matter subject to indemnification, and you agree to cooperate.

20. COPYRIGHT AND DMCA

We respect intellectual-property rights and may remove or disable access to material alleged to infringe those rights. We may suspend or terminate repeat infringers where appropriate. Notices under the Digital Millennium Copyright Act should identify the copyrighted work, the allegedly infringing material and its location, your contact information, the required good-faith and accuracy statements, and your physical or electronic signature.

21. DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for qualifying small-claims matters and requests for injunctive relief concerning unauthorized use, security, or intellectual-property rights, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under the rules applicable to the dispute. Arbitration may be conducted remotely, in the U.S. county where you reside or work, in Lane County, Oregon, or at another mutually agreed location.

You and Timeline Creator agree that disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, representative, or private-attorney-general action or arbitration. If this class-action waiver is found unenforceable for a particular claim, that claim must proceed in a court of competent jurisdiction and not in arbitration.

Before filing arbitration, the complaining party must send a written notice describing the dispute and requested relief and allow thirty (30) days for informal resolution. Notices to Timeline Creator must be sent to the legal notice address in Section 27.

22. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. To the extent a dispute is not subject to arbitration, you consent to exclusive jurisdiction and venue in the state or federal courts located in Lane County, Oregon, except that a qualifying small-claims action may be brought where permitted by applicable rules.

23. FORCE MAJEURE

Timeline Creator will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failure, telecommunications failure, denial-of-service attacks, failures of hosting or other third-party providers, or other force majeure events. Affected obligations are suspended for the duration and impact of the event.

24. CHANGES TO THESE TERMS

We may revise these Terms from time to time. We will post the revised version on the Website and update the "Last updated" date. We may also provide notice by email, in-product message, or other reasonable means when changes are material. Changes are effective when stated in the notice or, if no date is stated, when posted. Your continued use after the effective date constitutes acceptance.

25. ELECTRONIC COMMUNICATIONS

You consent to receive agreements, disclosures, receipts, notices, account messages, support communications, and other records electronically, including by email and through the Service. You are responsible for maintaining a current email address and monitoring account communications. Marketing communications may be subject to separate consent and opt-out rights.

26. MISCELLANEOUS

These Terms and incorporated policies are the entire agreement between you and Timeline Creator concerning the Service and supersede prior or contemporaneous communications on that subject. Section headings are for convenience only. If any provision is held invalid or unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Your rights under these Terms may not be assigned without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. No third party is an intended beneficiary except as expressly stated. In the event of a conflict between these Terms and a signed written agreement with Timeline Creator, the signed agreement controls to the extent of the conflict.
